Terms and Conditions for Accessing CCCI’s Media Kit

By accessing and using the Media Kit of Coca-Cola Consolidated, Inc. (“CCCI”), you acknowledge, accept and agree to comply with the following terms and conditions (“Terms”). These Terms govern your use of any videos, trademarks, logos, designs, and other brand features (collectively, “Brand Features”) provided in the Media Kit.

1. Proprietary Rights: All Brand Features are proprietary to CCCI or its licensors (e.g., The Coca-Cola Company) CCCI or its licensor is the owner of the Brand Features or elements thereof, and all goodwill generated from your use of the Brand Features will inure exclusively to such owner. Your use of any Brand Features does not grant or convey to you any proprietary or ownership rights therein.  You will not infringe, challenge or interfere with CCCI’s or its licensor’s rights in any of the Brand Features, including their use and registration, nor will you use the Brand Features in any manner that suggests they are the property of any person or entity other than CCCI or its licensors.
2. Usage Guidelines: You agree to use the Brand Features solely in accordance with these Terms, any specific approval by CCCI and any other applicable policies or terms referenced herein or otherwise available to you.
3. Approved and Unauthorized Uses: As a condition to granting you access to and the right to use any Brand Feature, CCCI may limit your use to a specific purpose (e.g., use by a media outlet for a news segment or use by a community partner for publicity in connection with a joint event). You agree to restrict your usage of the Brand Features to such approved use.  Personal or commercial use is prohibited.  In no event can you use the Brand Features in any manner that implies CCCI has an affiliation with you or has sponsored or endorsed the use or that can reasonably be interpreted to suggest that any editorial content represents the views of CCCI, without the prior written consent of CCCI in each case.  In addition, under no circumstances may any Brand Features be used in connection with any website or other media that contains violence or adult content, promotes gambling, or violates applicable law.
4. Restrictions: Unauthorized or infringing use of the Brand Features is strictly prohibited. You will not use or apply to register any of the Brand Features, or anything confusingly similar to the Brand Features, in whole or in part, as a trademark, service mark, company name, trade name, domain name, or social media handle, or mimic the Brand Features in your own trademarks, logos, designs or other materials. You cannot alter, modify, distort, or misuse the Brand Features, including in any manner that harms or dilutes CCCI’s or its licensor’s goodwill, such as by changing colors, modifying designs, altering fonts, or rescaling.
5. Modification and Revocation: CCCI reserves the right to modify these Terms or revoke permission to use the Brand Features at any time.
6. Disclaimer: The Brand Features and these Terms are provided “as is” without any warranties, express or implied, including, but not limited to, warranties of non-infringement.
7. Governing Law: These Terms shall be governed by the laws of North Carolina, without regard to conflict of laws principles. Any disputes arising out of or in connection with these Terms shall be resolved in the federal or state courts of Mecklenburg County, North Carolina, and you submit to the exclusive jurisdiction of such courts in connection with any such disputes.
